# Terms of Service These terms and conditions govern your use of the products provided by Bynapsys (referred to herein as "Bynapsys," "we," "our," or "us"). The products include the website tronpulse.io ("Tronpulse"), as well as all content and services available through the website. Bynapsys is a company (société par actions simplifiée) with a capital of €5,000, registered under number 982 919 607 R.C.S. Paris, and having a registered address at 61 Rue de Lyon 75012 Paris. By accessing or using any part of our products, you agree to be bound by the terms and conditions outlined in this Agreement. These additions will also be governed by the terms and conditions outlined in this Agreement. ## Services Provided Tronpulse is a peer-to-peer energy rental service built on the TRON blockchain and accessible via the website tronpulse.io. Our innovative solution aims to mitigate transaction fees by connecting TRX holders who possess surplus energy from staked TRX with smart contract users. By aligning these interests, we enable users to reduce their transaction costs while optimizing their energy utilization. ## User Eligibility Understanding and adhering to local laws and regulations relevant to your use of our products is your responsibility. By entering into this Agreement, you affirm that you possess the legal capacity to do so and that your utilization of our products is in full compliance with all applicable laws. ## Prohibited Activities By using our products, you explicitly agree not to engage in any activities that: - Are fraudulent, deceptive, or unlawful; - Support or facilitate scams, phishing attacks, or any other malicious activities; - Interfere with or disrupt the normal functioning of our systems; - Violate any applicable laws, regulations, or the rights of others. We take these prohibitions seriously to maintain a secure and trustworthy environment for all users. Your cooperation in adhering to these guidelines is essential for the collective well-being of our community and compliance with legal standards. ## Compliance Obligations It is your sole responsibility to ensure compliance with all applicable laws and regulations concerning your utilization of our products. This includes, but is not limited to, meeting tax obligations, fulfilling reporting requirements, and adhering to transaction limitations. ## Account Security When you create an account on our products, it is imperative that you take responsibility for maintaining the security of your account, including the associated password. Please be aware that we hold no liability for any actions or omissions on your part, and this includes any damages of any nature arising from such acts or omissions. ## Intellectual Property Rights This Agreement explicitly refrains from transferring any intellectual property to you. All rights, title, and interest in such intellectual property will exclusively remain with Bynapsys. The names, logos, and all other trademarks, service marks, graphics, and logos associated with the products are either trademarks or registered trademarks owned by Bynapsys or its licensors. Any additional trademarks, service marks, graphics, and logos related to the products may be the property of third parties. ## Termination of Access We reserve the right to terminate your access to the entirety or specific sections of the products at its discretion, with or without cause, and with or without prior notice, effective immediately. Should you choose to terminate this Agreement or your account (if applicable), you can do so by discontinuing the use of the products. Notwithstanding termination, certain provisions of this Agreement are designed to endure, reflecting their inherent nature. These surviving provisions include, but are not limited to, ownership terms, warranty disclaimers, indemnity clauses, and limitations of liability. ## Disclaimer of Warranties The products are presented in their current state, "as is." Bynapsys, along with its suppliers and licensors, explicitly disclaims all warranties, whether expressed or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. Neither we nor our suppliers and licensors provide any assurance that the products will be free of errors or that access to them will be seamless and uninterrupted. You acknowledge and accept that any content or services obtained through the products are done so at your own discretion and risk. ## Limitation of Liability Under no circumstances shall Bynapsys, its suppliers, or licensors be held liable for any matter covered by this Agreement, whether under contract, negligence, strict liability, or any other legal or equitable theory, for: - Any special, incidental, or consequential damages; - The cost of procurement for substitute products or services; - Interruption of use or loss or corruption of data; or - Any amounts exceeding the fees paid by you to Bynapsys under this Agreement during the twelve (12) month period preceding the cause of action. We bear no liability for any failure or delay attributed to factors beyond their reasonable control. This provision does not apply to the extent prohibited by applicable law. ## Indemnification By utilizing the products, you agree to indemnify and shield Bynapsys, its contractors, licensors, as well as their respective directors, officers, employees, and agents from any and all claims and expenses, including attorneys' fees. This indemnification extends to issues arising from your use of the products, encompassing, but not limited to, violations of this Agreement. ## Governing Law and Jurisdiction This Agreement is subject to the laws of the jurisdiction where Bynapsys is incorporated, and it shall be construed accordingly, without applying any principles of conflicts of law. All disputes arising from or related to this Agreement or the use of the products shall be exclusively settled in the courts situated in the jurisdiction where Bynapsys is incorporated. ## Miscellaneous This Agreement serves as the comprehensive understanding between Bynapsys and you regarding its subject matter and may only be amended through a written modification signed by an authorized executive of Bynapsys or by the publication of a revised version by Bynapsys. Your rights under this Agreement are transferable to any party that consents to and agrees to abide by its terms and conditions. Bynapsys retains the right to assign its rights under this Agreement without any conditions. The terms of this Agreement are binding upon and will confer benefits to the parties involved, including their successors and permitted assigns. This ensures the durability and applicability of the Agreement over time, contributing to a clear and stable understanding of the relationship between Bynapsys and its users.
